1. About These Terms

Zonvoornix B.V. (KvK 165683, CRIB 102680814) installs solar energy systems in Curaçao. These Terms govern every agreement between Zonvoornix and a Customer for the supply and installation of a Solar System, from quotation through completion.

Where you are a Consumer — a private individual acting outside any trade or business — mandatory provisions of the Curaçao Civil Code (BW) apply automatically. Any clause in these Terms that conflicts with those provisions is void to that extent; the rest remains in force.

Accepting a quotation, paying a deposit, or instructing us to begin work all constitute acceptance of these Terms.


2. Definitions

Agreement: The binding contract between Zonvoornix and the Customer for a Solar System.

Consumer: A Customer who is a natural person acting entirely outside any trade or business (consument under Curaçao law).

Customer: Any natural person or legal entity that enters into an Agreement with Zonvoornix.

Delivery: Physical installation and handover of the Solar System at the Customer's property.

Force Majeure: An unforeseeable event beyond a party's reasonable control, including natural disasters, government orders, Aqualectra grid failures, or major supply disruptions.

Guide Price (Richtprijs): An estimated rather than fixed price, subject to the 10% cap in clause 4.4.

Oplevering: Formal acceptance of the completed installation, after which risk transfers to the Customer.

Purchase Price: The total agreed price including OB (sales tax) unless otherwise stated.

Quotation: The written price proposal specifying the scope, components, and price of the Solar System.

Solar System: The complete installation of solar components specified in the Quotation: panels, inverter(s), mounting, cabling, and any batteries or accessories.

Working Days: Monday to Friday, excluding official Curaçao public holidays.


3. Quotations and Agreement Formation

3.1 Quotations

Quotations are non-binding and valid for 30 days unless stated otherwise. They cover only what is explicitly described — additional scope is quoted separately. Obvious errors may be corrected by Zonvoornix without liability. We may decline any request without giving a reason.

3.2 Formation

An Agreement is formed when the Customer accepts the Quotation and Zonvoornix confirms — explicitly in writing or implicitly by ordering components or scheduling the installation. Under Curaçao law a solar installation qualifies as both a consumer purchase (consumentenkoop) and a works contract (aanneming van werk); both regimes apply to Consumers, with consumer purchase rules prevailing where they conflict (Art. 5 lid 4 BW).

3.3 Customer information

The Customer must provide accurate information about the property, roof, and electrical installation before we quote. Inaccurate information that causes additional cost entitles Zonvoornix to invoice those costs separately and, in serious cases, to terminate and recover expenses incurred.


4. Price and Payment

4.1 Prices

All prices are in XCG (Cg) and include OB at the applicable rate unless otherwise stated. If the OB rate changes between quotation and invoice, we adjust accordingly.

4.2 Payment schedule

The following payment schedule applies to all agreements:

  • Material only: 100% due 24 hours before delivery.
  • Including installation: 50% before delivery, 50% upon completion (Oplevering).

Payment is due within 14 calendar days of each invoice. Payment obligations are independent of any subsidy, loan, or financing the Customer has applied for.

4.3 Late payment

Overdue amounts accrue statutory interest (wettelijke rente) automatically from the due date. Zonvoornix may suspend work or withhold delivery until the account is settled. Reasonable collection costs are for the Customer's account.

4.4 Guide price and increases

A Guide Price may not be exceeded by more than 10% without Zonvoornix first warning the Customer and giving the opportunity to reduce scope. This rule cannot be waived to the Customer's detriment (Art. 752 lid 2 BW). Extra work outside the agreed scope is billed separately at rates current at the time of performance.

4.5 Ownership of components

Components remain Zonvoornix's property until the full Purchase Price is received. Once panels are permanently affixed to the property, recovery by repossession may be legally impractical; our primary remedy for non-payment is civil proceedings.


5. Customer Obligations

The Customer must:

  • Provide accurate information about the roof, its condition, and any known defects before installation.
  • Obtain all required permits and authorizations. Failure to do so does not cancel the Agreement or the payment obligation.
  • Be available on the agreed installation date and ensure safe, unobstructed access to the roof and meter box.
  • Ensure the meter box and electrical connection meet current Curaçao standards. Upgrades required are at the Customer's cost.
  • Provide a working Wi-Fi connection at the inverter location where remote monitoring applies.
  • Pay each invoice on time.

Grid-side modifications between the Aqualectra connection and the meter box are the Customer's responsibility. The Customer is also responsible for preventing damage caused by power outages during installation.

Failure to cooperate entitles Zonvoornix to suspend or terminate the Agreement and charge all costs incurred to that point.


6. Installation, Delivery, and Acceptance

6.1 Dates

All installation and delivery dates are indicative. A delay is not a breach of contract and does not entitle the Customer to compensation unless a firm written deadline was agreed. Delays caused by Force Majeure or the Customer's own failures are excused.

6.2 Conformity guarantee

Zonvoornix guarantees that the Solar System will conform to the Agreement and be fit for normal use. This guarantee exists alongside — not instead of — manufacturer warranties on individual components.

6.3 Risk and Oplevering

Risk passes to the Customer at Oplevering (Art. 758 BW). If the Customer operates the system before Oplevering, acceptance is deemed to have occurred at that point. After Zonvoornix notifies the Customer the work is complete, the Customer must inspect within a reasonable time and either accept or identify specific defects in writing. Silence within that period constitutes acceptance. Minor defects that do not affect normal operation are not grounds to withhold acceptance.

6.4 Suspension of installation

Zonvoornix may stop work immediately if:

  • Employee or third-party safety is at risk.
  • The installation location is inaccessible or the roof is structurally unsuitable.
  • Asbestos or other hazardous materials are found.
  • The meter box presents a dangerous situation.
  • Required permits have not been obtained.

Costs incurred to the point of suspension remain payable.

6.5 Customer's right to terminate

The Customer may terminate the Agreement at any time (Art. 764 BW). In that case the Customer owes the full Purchase Price minus savings arising from termination, in exchange for delivery of all completed work. Zonvoornix will provide an account of savings within 14 days of receiving the termination notice.


7. Warranties

7.1 Manufacturer warranties

Each component carries the manufacturer's warranty. The Customer may claim through Zonvoornix; we coordinate the process. A defect in one component does not entitle rejection of the full installation. Manufacturer warranties are voided by unauthorized dismantling, modification, or relocation of components by the Customer or a third party not engaged by Zonvoornix.

7.2 Installation workmanship

Zonvoornix guarantees its installation workmanship for 12 months from Oplevering. Defects attributable to our workmanship will be repaired at no cost to the Customer, provided notification is prompt and the defect is not caused by misuse, modification, or external damage.

7.3 Concealed known defects

Liability for defects Zonvoornix knew of and failed to disclose cannot be excluded or limited, and no shorter limitation period applies (Art. 762 BW). This overrides every other clause in these Terms.

7.4 Six-month conformity presumption — Consumers only

If a defect appears within 6 months of Delivery, it is presumed under Curaçao law to have existed at Delivery — unless the nature of the system or the defect makes that impossible (Art. 18 lid 2 BW). The burden is on Zonvoornix to prove otherwise.


8. Defects, Complaints, and Remedies

8.1 How to report

Notify Zonvoornix promptly by email to info@zonvoornix.com or call +599 9 525 8038. Include a clear description and photographs where possible.

8.2 Complaint deadlines

  • Visible damage on or after delivery: within 15 days of discovery.
  • Defects within 3 months of delivery: within 15 days of discovery.
  • All other warranty claims: within 15 days of discovery and within the warranty period.
  • Property damage caused during installation: immediately.

Note for Consumers: Curaçao law (Art. 23 BW) guarantees Consumers a minimum of two months from discovery to report a defect. Our 15-day windows apply to B2B Customers and cannot override that right.

8.3 Repair-first sequence

When a covered defect is reported, Zonvoornix has the right and obligation to investigate and, if liable, to repair or replace within a reasonable time at no cost to the Customer (Arts. 759, 21 BW). Only after Zonvoornix fails to remedy within a reasonable time following written notice may the Customer pursue further remedies such as price reduction, third-party repair at Zonvoornix's cost, or termination.

8.4 Investigation costs

If investigation shows the reported issue is not covered — for example, damage caused by the Customer or an external event — reasonable investigation costs may be charged to the Customer.

8.5 Limitation periods

Legal claims regarding defects expire two years after formal protest to Zonvoornix, and in any event ten years from Delivery (Art. 761 BW). These minimum periods cannot be shortened to the Customer's detriment.


9. Savings, Subsidies, and Grid Congestion

All savings, yield, and payback figures are estimates, not guarantees. Actual results depend on weather, shading, your energy consumption, Aqualectra tariffs, and future regulatory changes. Zonvoornix is not liable for lower yields than estimated.

Subsidy and financing approval is the Customer's responsibility. Rejection of an application does not affect payment obligations to Zonvoornix and is not a ground to cancel the Agreement.

Grid congestion may limit feed-in and, in some cases, cause the inverter to shut down automatically. This is beyond Zonvoornix's control; we are not liable for lost feed-in revenue.


10. Distance Sales — Online and Telephone Agreements

This section applies when a Consumer agrees to a Solar System via our website, email, WhatsApp, or telephone (koop op afstand, Arts. 46a et seq. BW).

10.1 Pre-contractual information

Before any distance agreement is concluded, Zonvoornix will provide in a clear and understandable format: our identity and address; main product specifications; total price including OB and any additional charges; payment terms; whether the cancellation right applies; and the quotation validity period. This information will be confirmed in writing at or before Delivery.

10.2 Right to cancel

A Consumer has 7 Working Days from Delivery to cancel without reason (Art. 46d lid 1 BW). Cancellation must be in writing to info@zonvoornix.com or by registered letter. We will refund all amounts paid within 30 days, retaining only direct return logistics costs.

This right does not apply to systems built to the Customer's specific requirements (Art. 46d lid 4 BW).

Note: If Zonvoornix fails to provide all required pre-contractual information, the cancellation period automatically extends to 3 months from Delivery (Art. 46d lid 1 BW).

10.3 Delivery timeline

We aim to complete installation within a reasonable time after the order — typically around 30 days — unless otherwise agreed. Timelines are indicative and may be affected by permit approvals, component availability, and the size of the system. If a component is unavailable, we notify the Customer immediately; if the Customer chooses not to wait, we refund all payments within 30 days.

10.4 Fraudulent card use

A Consumer whose payment card is used fraudulently in connection with a distance order is not liable for the fraudulent charges, unless the fraud was caused by the Consumer's own actions (Art. 46g BW).


11. Liability

11.1 What we are always liable for

We never exclude liability for: death or personal injury caused by our negligence; damage caused by deliberate concealment of a known defect (Art. 762 BW); or any liability that cannot be excluded by Curaçao mandatory law.

11.2 Cap on direct damages

Subject to clause 11.1, our total liability for direct damages from any single event is capped at the Purchase Price of the relevant Solar System, unless otherwise agreed in writing.

11.3 Excluded damages

Zonvoornix is not liable for indirect or consequential loss, including: loss of savings or yield; lost feed-in revenue; business interruption; data loss; fines; or losses caused by grid congestion or regulatory changes.

Note for Consumers: These exclusions apply only to the extent permitted by Curaçao consumer law. Statutory remedies under Arts. 21 and 22 BW — repair, replacement, price reduction — are never excluded.

11.4 Reporting deadline

Damage claims must be reported within 30 days of the event. Legal proceedings must be commenced within two years of that report. These deadlines apply to B2B Customers; Consumer statutory periods (Art. 761 BW) are not shortened.


12. Force Majeure

Force Majeure extends the delivery or installation timeline for its duration. We will notify the Customer as soon as reasonably possible. If Force Majeure continues for 60 consecutive days, either party may terminate in writing. The Customer then owes a fair amount for work completed and costs incurred to date; neither party owes the other damages for a Force Majeure termination (Art. 757 BW).


13. Termination

Either party may terminate immediately and without court order if: the other party is declared bankrupt, applies for a moratorium, or ceases operations; the other party commits a material breach not remedied within 14 days of written notice; or performance becomes permanently impossible.

Termination does not reverse what has already been delivered and paid for. A party claiming the other was in default bears the burden of proof.


14. General

14.1 Entire agreement

These Terms and the Quotation are the entire agreement. Verbal commitments by our staff bind Zonvoornix only when confirmed in writing.

14.2 Joint liability

Where more than one person signs as Customer, all are jointly and severally liable.

14.3 Severability

If any clause is unenforceable, the rest remains valid. We will replace the unenforceable clause with one that best reflects its original purpose.

14.4 Privacy

Personal data is processed only to perform the Agreement and meet legal obligations. Our Privacy Statement is available at zonvoornix.com/privacy and forms part of these Terms.

14.5 Governing law and jurisdiction

These Terms are governed by the law of Curaçao. Disputes that cannot be resolved amicably are submitted to the competent court in Willemstad.
